Terms of Service

1. Acceptance of Terms

By accessing or using WeTalk's communication platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you and WeTalk Technologies Limited. If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

WeTalk provides a Communications Platform as a Service (CPaaS) that enables businesses to integrate messaging, voice, and communication capabilities into their applications. Our Services include:

• SMS and MMS messaging APIs
• WhatsApp Business API integration
• Voice calling and conferencing APIs
• Contact management and campaign tools
• Analytics and reporting dashboards
• Webhook integrations and developer tools

3. Account Registration

To use our Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years old and have the legal capacity to enter into these Terms. Business accounts must be registered by authorized representatives of the organization.

4. Acceptable Use Policy

You agree not to use our Services to:

• Send unsolicited messages (spam) or engage in any form of harassment
• Transmit malicious content, malware, or phishing attempts
• Violate any applicable laws, regulations, or third-party rights
• Interfere with or disrupt the integrity of our Services
• Attempt to gain unauthorized access to our systems or user accounts
• Use the Services for any fraudulent or illegal purposes

5. Payment Terms

Our Services operate on a credit-based system. You agree to maintain sufficient credit balance for your usage. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

We reserve the right to modify our pricing with 30 days' notice. Continued use of the Services after price changes constitutes acceptance of the new pricing.

6. Intellectual Property

All intellectual property rights in the Services, including software, APIs, documentation, and branding, remain the exclusive property of WeTalk. You are granted a limited, non-exclusive license to use the Services in accordance with these Terms.

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring that your use of our Services complies with all applicable privacy and data protection requirements, including obtaining necessary consents from end users.

8. Service Level Agreement

We strive to maintain 99.9% uptime for our Services. In the event of service disruptions, we will provide service credits as outlined in our SLA documentation. Scheduled maintenance windows are excluded from uptime calculations.

9. Limitation of Liability

To the maximum extent permitted by law, WeTalk shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the amounts paid by you in the twelve months preceding the claim.

10. Termination

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services will cease, and you must pay any outstanding fees.

11. Governing Law

These Terms are governed by the laws of Tanzania. Any disputes arising from these Terms shall be resolved through binding arbitration in Dar es salaam Tanzania, unless otherwise required by applicable law.
